By-Laws
of
San Mateo Park Neighborhood Association
Article I
The name of the Association is San Mateo Park Neighborhood Association hereinafter referred to as "Association".
Article II
The general purpose of the Association is to preserve, support and promote San Mateo Park and protect and enhance the real properties and property rights of members regarding properties described by these by-laws. Such protection and enhancement shall be done by means of research, investigation, attendance at meetings of public bodies to gather, review and disseminate such information to the Association's directors, officers and members and to then use efforts of persuasion and influence to maintain the environment and character of the area including but not limited to esthetic beauty, landscaping, property maintenance, safety, sanitation, zoning and to preserve land values.
Article III
The Association is not organized for profit and is organized under the Mutual Benefit Corporation Law of the State of California. No part of any income of this association shall inure to the benefit of any Director, Officer or member and upon dissolution all of the assets shall be donated to an established non-profit organization in accordance with the Association’s Articles of Incorporation.
Article IV
The Association shall be non-partisan and shall not be active in any way in influencing the nomination or election of a public official.
Article V
(A) Membership shall be automatically available to all of those who reside in or own single family zoned property in the City of San Mateo located on the following streets:

(B) General Membership annual meetings shall be held in the Fall of each year. The date shall be fixed by the Board of Directors and notices of such meetings shall be sent to each actual and potential member residence at least seven days in advance. The Board of Directors may call a special meeting by sending notices in the manner outlined above.
Article VI
The principal office of the Association shall be the residence of the President of the Association and shall be in the City of San Mateo, State of California.
Article VII
(A) Directors shall be nine in number, shall be selected from the general membership by election at the annual general membership meeting to be held in the Fall of each year. They shall be elected on a staggered basis for three year terms, or until the election of their successors, with three Directors being replaced with three new Directors each year. If a vacancy occurs it shall be filled by an appointment for the balance of the term by a majority vote of the remaining Directors.
(B) The powers of the Association shall be vested in the Board of Directors.
(C) A majority of the prescribed number of Directors shall constitute a quorum for the transaction of business.
(D) Meetings of the Board of Directors may be held at such time and place as may be designated in the call of the meeting, and such calls may be made by the President or any two Directors upon at least one days notice if by telephone and three days by mail.
(E) The Board of Directors may create one or more committees with such duties and powers consistent with these by-laws as the board may from time to time determine, or change or abolish such committees.
(F) A Director who fails to attend two meetings in succession without excuse or who for any other reason does not perform duties assigned to him, may be removed from the Board upon a vote of the majority of Directors present at a meeting at which a quorum is present.
(G) Any action required or permitted to be taken at any meeting of the Board of Directors or of any committee of the Board of Directors may be taken without a meeting if all members of the Board or committee, as the case may be, consent to the action in writing or by electronic transmission.
Article VIII
(A) The officers of the Association shall be a President, a Secretary and a Treasurer. All such officers shall be chosen by the Board of Directors immediately after the annual meeting of the Association. The officers shall serve for a one year term or until their successors have been chosen.
(B) The President shall preside at the Association's general meetings and the meetings of the Board of Directors and shall be the chief executive of the Association.
(C) The Secretary shall keep accurate minutes of all meetings of the Association and Board of Directors and shall perform the duties commonly incident to the office and shall have other duties and such powers as the Board shall designate, from time to time.
(D) The Treasurer, subject to the Board, shall have the care and custody of funds and valuable documents of the Corporation, shall endorse for deposit or collection all checks, notes and other commercial paper payable to the Association, shall keep accurate books of account of the Association's transactions. Such records shall be property of the Association and shall be subject at all times to the inspection of the Board.
Article IX
Membership dues shall be set by the Board of Directors from year to year depending upon the needs of the Association.
Article X
These by-laws may be amended or repealed or new by-laws may be adopted by the affirmative vote of two-thirds of the directors at any regular or special meeting of the Board of Directors. These by-laws may be amended or repealed or new by-laws may be adopted by the affirmative vote of a majority of the members present at the annual or any special meeting.
